(d) On October 6, 2009, the Board of Directors of the Company (the “Board”) elected Robin J. Adams to the Board as part of the class with a term expiring in April 2010. Mr. Adams has been appointed to serve on the Board’s Audit and Pension and Benefits Committees. In connection with his election, Mr. Adams was granted restricted share units having a value of $50,000.
