Item 3.03 Material Modification to Rights of Securities Holders
(a) On October 16, 2006, Cyanotech Corporation issued a news release announcing that it has filed with the Secretary of State of the State of Nevada a Certificate of Change with respect to the previously announced one-for-four reverse stock split of its common stock par value $0.005 per share. The Certificate of Change provides that the reverse stock split will take effect November 3, 2006.
The news release attached hereto as Exhibit 99.1 is incorporated herein by reference.
