Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this registration statement shall include an additional indeterminate number of shares of the common stock, par value $0.01 per share (the “Common Stock”) of W. R. Grace & Co., a Delaware corporation (the “Registrant”), that may become issuable under the W. R. Grace & Co. 2014 Stock Incentive Plan (the “2014 Plan”) and the W. R. Grace & Co. 2018 Stock Incentive Plan (the “2018 Plan”) as a result of any future stock splits, stock dividends or similar adjustments of the Registrant’s outstanding Common Stock. As described in the “Explanatory Note” below, this Post-Effective Amendment No. 1 to Registration Statement on Form S-8 (this “Post-Effective Amendment”) is being filed to provide that shares of Common Stock that the Registrant originally registered on the Registration Statement on Form S-8 (File No. 333-194171) filed with the SEC on February 27, 2014 (the “2014 Registration Statement”), for issuance under the 2014 Plan, that cease to be issuable under the 2014 Plan, may be issued under the 2018 Plan.
The filing fee for the registration of the offer of shares of Common Stock under the 2014 Plan was paid in full upon the filing of the 2014 Registration Statement. No filing fee is required for this Post-Effective Amendment.
W. R. Grace & Co., a Delaware corporation (the “Registrant”), previously filed its Registration Statement on Form S-8 (File No. 333-194171) with the Securities and Exchange Commission on February 27, 2014 (the “2014 Registration Statement”) with respect to 6,000,000 shares of the Registrant’s common stock, par value $0.01 per share (the “Common Stock”), issuable under the W. R. Grace & Co. 2014 Stock Incentive Plan (the “2014 Plan”). On May 9, 2018 (the “Approval Date”), the Registrant’s stockholders approved the W. R. Grace & Co. 2018 Stock Incentive Plan (the “2018 Plan”) and, in connection therewith, no further awards will be made under the 2014 Plan.
As of the Approval Date, a total of 1,138,851 shares that were available for future awards under the 2014 plan: (a) will no longer be available under the 2014 Plan; and (b) instead will become issuable under the 2018 Plan. Additionally, pursuant to the terms of the 2018 Plan, shares of Common Stock subject to awards outstanding under the 2014 Plan that are terminated, canceled, forfeited, or expire, or under which the shares otherwise cease to be issuable, will become available for issuance under the 2018 Plan. The Registrant estimates that 65,643 shares will become available under that provision.
The Company is filing this Post-Effective Amendment No. 1 to Form S-8 to amend the 2014 Registration Statement to register the offer of the shares identified in the immediately preceding paragraph under the 2018 Plan (as such shares would no longer be issuable under the 2014 Plan).

As an executive officer of the Registrant, Mr. Shelnitz is eligible to be granted securities pursuant to the W. R. Grace & Co. 2018 Stock Incentive Plan.

Certificate of Incorporation; By-Laws; State Law.
Under its Certificate of Incorporation and By-laws, the Registrant shall indemnify and hold harmless its directors and officers to the fullest extent authorized by the Delaware General Corporation Law (the “GCL”). The rights of indemnification set forth in the Certificate of Incorporation and By-laws are contract rights and shall include the obligation of the Registrant to pay the expenses incurred in defending any such proceeding in advance of its
final disposition. The Certificate of Incorporation and By-laws provide that the Registrant will indemnify its directors and officers against all expense, liability and loss (including attorneys' fees and related disbursements, judgments, fines, excise taxes or penalties under the Employee Retirement Income Security Act of 1974, as amended from time to time, penalties and amounts paid or to be paid in settlement) reasonably incurred or suffered by such indemnitee in connection with various types of legal actions or proceedings. Determinations, if required by applicable law, with respect to the claimant's entitlement to indemnification shall be made as follows: (1) if requested by the claimant, by Independent Counsel (as defined in the By-laws), or (2) if no request is made by the claimant for a determination by Independent Counsel, (i) by the Board of Directors by a majority vote of a quorum consisting of Disinterested Directors (as defined in the By-laws) or (ii) if a quorum of the Board of Directors consisting of Disinterested Directors is not obtainable or, even if obtainable, such quorum of Disinterested Directors so directs, by Independent Counsel in a written opinion to the Board of Directors, or (iii) if a quorum of Disinterested Directors so directs, by the stockholders of the Registrant.
In accordance with the Certificate of Incorporation and By-laws, the Registrant may purchase and maintain insurance on its own behalf and on behalf of any director or officer of the Registrant against any expense, liability or loss asserted against him or her and incurred by him or her in such capacity, or arising out of his or her status as such, whether or not the Registrant would have the power to indemnify such person against such expenses, liability or loss under the GCL.
The directors and officers of the Registrant are insured against losses arising from any claim against them as such for wrongful acts or omissions, subject to certain limitations.
