On June
30, 2009, the Company issued the press release attached hereto as Exhibit 99.1
and incorporated herein by reference announcing plans to file a universal shelf
registration Form S-3 with the Securities Exchange Commission under which DXP
would be able to offer and sell up to $75 million of equity, debt or other types
of securities in one or more public offerings.
