Explanatory Note
This Post-Effective Amendment relates to the Registration Statement on Form S-8, Registration No. 333-76817 (the “Registration Statement”), registering the offer and sale of 1,000,000 shares of Mechanical Technology, Incorporated common stock, par value currently $.01 per share (“Common Stock”), in connection with the Mechanical Technology Incorporated 1999 Employee Stock Incentive Plan (the “Plan”). The Plan has expired by its terms and all stock options granted thereunder or governed thereby have either been exercised or expired unexercised. In accordance with an undertaking made by Mechanical Technology, Incorporated in the Registration Statement to remove by means of a post-effective amendment any securities that remain unsold at the termination of the offering, Mechanical Technology, Incorporated hereby terminates the effectiveness of the Registration Statement and deregisters any and all shares of Common Stock originally reserved for issuance under the Plan covered by the Registration Statement and registered under the Registration Statement, that remain unsold or unissued as of the date hereof.
