Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On June 16, 2005, the Board of Directors of Fidelity Southern Corporation elected James H. Miller III to its Board of Directors and to the Board of Fidelity Bank. Fidelity Southern Corporation issued a press release announcing Mr. Millers election on June 17, 2005, a copy of which is attached hereto as Exhibit 99.1.
