(1) Gift to minor children who share the reporting person's household. The reporting person disclaims beneficial ownership of the
securities held by his children, and this report should not be deemed an admission that the reporting person is the beneficial
owner of such securities for purposes of Section 16 or for any other purpose.
(2) The shares were contributed by the reporting person to trusts for the benefit of the reporting person's children. The
reporting person is the trustee for the trusts and retains investment and voting power over the trust.
