As part of Cavium Networks, Inc.’s (the “Company”) overall cost reduction efforts in response to current economic conditions, on January 8, 2009, the Compensation Committee approved management-recommended reductions in the base salaries of the Company’s President and Chief Executive Officer, Chief Financial Officer, Vice President of IC Engineering, Vice President of Marketing and Sales and Vice President of Strategic Markets & Business Development, effective January 1, 2009. The salaries of the Company’s named executive officers will be reduced by 25%, except for Syed B. Ali, the Company’s President and Chief Executive Officer, who recommended that his salary be reduced by 50%.
