ITEM 2. ACQUISITION OR DISPOSITION OF ASSETS
On January 28, 2004, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing that it will be acquiring a hotel property from JHM Ruby Lake Hotel, Ltd. for approximately $25.3 million in cash. The purchase price was the result of an arms’ length negotiation. The Company will use a portion of the proceeds from its initial public offering of common stock as the source of funds for the acquisition of this property. The acquisition is expected to close in late February 2004. A copy of the press release is attached hereto as Exhibit 99.10 and is incorporated herein by reference.
