Section 8 — Other Events
Item 8.01. Other Events.
On May 27, 2011, American International Group, Inc. (“AIG”) and the United States Department of the Treasury (“Treasury”) closed the sale of 300,000,000 shares of AIG common stock, par value $2.50 per share (“AIG Common Stock”), at an initial public offering price of $29.00 per share (the “Offerings”). The Offerings involved the issuance and sale of 100,000,000 shares of AIG Common Stock by AIG and the sale of 200,000,000 shares of AIG Common Stock by Treasury.
In connection with the Offerings, AIG entered into an Underwriting Agreement, dated May 24, 2011 (the “Underwriting Agreement”), among AIG, Treasury and Merrill Lynch, Pierce, Fenner & Smith Incorporated, Deutsche Bank Securities Inc., Goldman, Sachs & Co., and J.P. Morgan Securities LLC, as representatives of the several underwriters named therein. The Underwriting Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K. The exhibits are incorporated by reference into the Registration Statement (No. 333-160645) related to the Offerings.
