Vale Overseas Limited announces intention to issue Guaranteed Notes

Rio de Janeiro, January 7, 2004 – Vale Overseas Limited, a wholly-owned subsidiary of Companhia Vale do Rio Doce (CVRD) announces that it intends to issue thirty year notes in the international capital markets.

The notes will be unsecured and unsubordinated obligations of Vale Overseas Limited and will be fully and unconditionally guaranteed by CVRD. The guarantee will rank pari passu with all of CVRD’s other unsecured and unsubordinated debt obligations. The net proceeds of the offering will be used for CVRD’s general corporate purposes.

Merrill Lynch, Pierce, Fenner & Smith Incorporated is acting as sole bookrunner for the offering and Deutsche Bank Securities Inc., J.P. Morgan Securities Inc. and Morgan Stanley & Co. Incorporated are acting as co-managers. The offering is being made pursuant to an effective shelf registration statement. A preliminary prospectus supplement with further information about the proposed offering and the Company has been filed with the SEC. When available, copies of the preliminary prospectus supplement relating to the offering may be obtained from Merrill Lynch & Co., Prospectus Department, Four World Financial Center, New York, NY 10080.
