On December 12, 2012, Brandywine Realty Trust issued a press release that its operating partnership, Brandywine Operating Partnership, LP (the “Operating Partnership”), intends to commence a cash tender offer on or before December 14, 2012 for any and all of the $216,819,000 outstanding principal amount of its 7.50% Guaranteed Notes due May 15, 2015 and any and all of the $250,000,000 outstanding principal amount of its 6.00% Guaranteed Notes due April 1, 2016 issued by the Operating Partnership. A copy of the press release is attached as Exhibit 99.1 hereto.
