Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
    
On January 12, 2016, Jack Henry & Associates, Inc. (the "Company") announced a transition plan pursuant to which David Foss will be appointed President and Chief Executive Officer of the Company, effective July 1, 2016. Mr. Foss, age 54, currently serves as President of the Company.

In connection with Mr. Foss's appointment, John F. Prim, who currently serves as Chief Executive Officer and Chairman of the Board of Directors, will resign from his role as Chief Executive Officer and will assume the role of Executive Chairman of the Company, effective July 1, 2016.

A copy of the press release issued in connection with the transition plan is attached as Exhibit 99.1 and is incorporated herein by reference.
