DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS
   

Robert L. Storch was elected to the Board of Directors of Chemung Financial Corporation effective May 20, 2009. Mr. Storch will also serve as a director of Chemung Canal Trust Company, the Company's wholly owned subsidiary.

AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
   

The number of directors on the Company's Board of Directors was increased to fourteen (14) effective May 20, 2009.
