Item 1.01 Entry into a Material Definitive Agreement.

On November 25, 2013, three indirect wholly-owned subsidiaries of Atlas Air Worldwide Holdings, Inc. ("AAWW" or the "Company") entered into agreements with affiliates of Guggenheim Aviation Partners, LLC that provide for the acquisition by such subsidiaries of an aggregate of three Boeing 777-200LRF aircraft, each equipped with two GE 90-110B1L engines (all three aircraft being collectively referred to as the "Aircraft"). The Aircraft are currently on long-term lease to a European express carrier.
