Item 5.07 Submission of Matters to a Vote of Security Holders.
The 2013 Annual Meeting of Stockholders (the Annual Meeting) of Group 1 Automotive, Inc. (the Company), was held on May 22, 2013. At the Annual Meeting, the stockholders voted on the following three proposals and cast their votes as set forth below.

The three director nominees named in the Companys proxy statement were elected as Class II directors to serve until the 2016 Annual Meeting of Stockholders or until their successors are duly elected and qualified, based upon the following votes:
