Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 25, 2007, Popular, Inc. issued a news release announcing that Michael Masin will join the Board of Directors of Popular, Inc., effective January 25th, 2007. A copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K.

Mr. Masin is currently a senior partner in the New York office of O’Melveny & Myers. Mr. Masin’s expertise includes corporate governance, internal investigations, corporate compliance and strategic counseling of corporate clients, (Mr. Masin was previously Vice Chairman and Chief Operating Officer of Citigroup). Prior to that, he served as Vice Chairman and President of Verizon Communications.
