Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 21, 2005, the Company's President, William E. Elliott, announced his plans to retire as an Officer of the Company in September of 2005. Douglas N. Biddle has been appointed President and Chief Operating Officer of Plumas Bank, the wholly-owned subsidiary of Plumas Bancorp.
