ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On January 5, 2006, Aehr Test Systems (the "Company") issued a press
release announcing the Company's financial results for its second fiscal quarter
2006 ended November 30, 2005. A copy of the press release is attached as Exhibit
99.1 to this Current Report on Form 8-K.
