(1) | Each restricted stock unit granted on February 5, 2015 represents a right to receive one share of common stock and will vest one-third each year beginning December 31, 2015; the vesting is contingent upon certification by the Compensation Committee of the issuer that the applicable performance condition has been achieved. The performance condition operates on a rolling basis with a catch-up feature for each vesting tranche. Vested shares will be delivered to the reporting person within 90 days after the vesting date. |
