Item 1.01. | Entry into a Material Definitive Agreement. |
On November 20, 2017, EPR Properties (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Merrill Lynch, Pierce, Fenner & Smith Incorporated, RBC Capital Markets, LLC, Stifel, Nicolaus & Company, Incorporated and Raymond James & Associates, Inc., for themselves and as representatives of the several underwriters named therein, in connection with a public offering of 6,000,000 of the Companys 5.750% Series G cumulative redeemable preferred shares of beneficial interest, par value $0.01 per share (the Series G Preferred Shares). The Company has filed a prospectus supplement in connection with the offering, dated November 20, 2017, and filed with the Securities and Exchange Commission on November 22, 2017.
The Underwriting Agreement contains customary representations, warranties and covenants and includes the terms and conditions for the sale of the Series G Preferred Shares, indemnification and contribution obligations and other terms and conditions customary in agreements of this type.
