(b) On August 4, 2016, Jay Shepard provided notice to the Board of Directors (the “Board”) of DURECT Corporation (“DURECT”) of his decision to resign from the Board and its Nominating and Corporate Governance Committee effective August 16, 2016. Mr. Shepard’s decision to resign was for personal reasons related to a recent accident involving his daughter and did not involve any disagreement on any matter relating to DURECT’s operations, policies or practices. DURECT is grateful for Mr. Shepard’s hard work and sound counsel in contributing to our potential future success, and our thanks and most sincere wishes go to him and his family.
