Item 5.07. Submission of Matters to a Vote of Security Holders.
On May 4, 2012, Saul Centers, Inc. (the Company) held its Annual Meeting of Stockholders, at which Philip D. Caraci, Gilbert M. Grosvenor, Philip C. Jackson Jr. and Mark Sullivan III, were reelected to the Board of Directors for three year terms expiring at the 2015 Annual Meeting. The terms of the remaining Board members did not expire as of the May 4, 2012 meeting and those individuals continue as directors of the Company. Holders of 18,602,050 shares of the Companys common stock voted in person at the meeting or by proxy (representing 96.8% of the 19,225,398 shares eligible to vote) as follows:
