State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Maxim Integrated Products, Inc. (the Company) is unable to file its Annual Report on Form 10-K for the fiscal year ended June 24, 2006 (Form 10-K) by the prescribed due date of September 7, 2006. As previously announced, on June 14, 2006 the Companys Board of Directors authorized a review of certain of the Companys past stock option grants and practices, which is being conducted by a Special Committee of the Board with the assistance of outside independent legal counsel. At this time, the Special Committee has not completed its review. Until this review is completed, the Company will not be able to file its Form 10-K. The Company intends to file the Form 10-K as soon as possible following the completion of the Special Committees review.
This Form 12b-25 contains forward-looking statements concerning the Companys review of certain past stock option grants and practices. There can be no assurance concerning the outcome of the Special Committees review. Important factors that could cause actual results to differ materially include the final determinations of the Special Committee concerning matters relating to the Companys stock option grants, the timing of such determinations and other actions that may be taken or required as a result of the Special Committees review.
