Form 12b-25, Part III Narrative

 

Transcontinental Realty Investors, Inc. (“TCI”) is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2003, without unreasonable effort and expense due to a delay in receiving earnings information of affiliates, American Realty Investors, Inc. and Income Opportunity Realty Investors, Inc., which TCI accounts for under the equity method.

 

Statement II

Form 12b-25, Part IV(3)—Other Information

 

For the three and six months ended June 30, 2002, TCI had a net loss of $1.9 million and $3.3 million. For the three and six months ended June 30, 2003, TCI is estimated to have net income of approximately $1.5 million and a net loss of $5.9 million due to fewer property sales compared to the period ended June 30, 2002.
