(1) 1/48th of the shares vest for each month of service as a director from November 4, 2004. The shares may be exercised prior to vesting, subject to the Company's right of repurchase.
(2) The Vesting Commencement Date shall be the closing date of the Company's initial public offering. 1/48th of the shares vest for each month of service as Chairman of the Nominating and Corporate Governance Committee following the Vesting Commencement Date. All of the shares shall vest on November 4, 2009. The shares may be exercised prior to vesting, subject to the Company's right of repurchase.
