NOTICE TO THE SHAREHOLDERS

ARACRUZ CELULOSE S.A. (“Company”) hereby advises its stockholders that, in the light of the events described in the material information releases of September 25 and October 2, 2008, and the present domestic and international scenario, and acting in the best interests of the Company and its stockholders, the Executive Board has decided to cancel the credit and payment of Interest on Stockholders’ Equity (ISE) to the sum of R$ 84,000,000 (eighty-four million reais), announced in a market announcement on September 19, 2008 and which payment was scheduled to be made as from October 15, 2008.
