In a joint press release yesterday,  RR Donnelley and Consolidated Graphics announced that a definitive agreement has been signed, under which RR Donnelley will acquire Consolidated Graphics.  The transaction is subject to the customary closing conditions, including regulatory approvals and the approval of our shareholders.  It is expected to be completed sometime in the first quarter of 2014.

 

Many of you know that the Leadership Development Program has long been my passion and are probably wondering what this transaction will mean for you and your future.  Let me put your concerns to rest—the CEO of RR Donnelley, Tom Quinlan, is just as committed to our Leadership Development Program as I am.  He well recognizes the significant contributions the LDP program has added to our Company.  He is most impressed that the Presidents of 26 of our 70 Companies are graduates of the program.  In addition, he is very impressed with the success LDP’s have had in sales, technology and the controller programs.

 

With more than more than 500 locations worldwide and annual revenues in 2012 of approximately $10 billion, there is no doubt your career opportunities just increased dramatically. Your ability to excel in the combined organization is unlimited.

 

I expect to have an arrangement with the combined company for consulting services for a period of three years after the closing of the transaction and look forward to following the progress of each of you, just as I do today.

 

In short, we will continue our normal LDP recruiting, hiring and development/training as we have in the past.

 

Finally, we believe that the RR Donnelley / Consolidated Graphics combination will bring an extremely compelling set of benefits to customers, employees, shareholders and Associates.  Until the transaction is consummated, however, RR Donnelley and Consolidated Graphics will remain two separate companies.  It is imperative that we continue to provide the same high level of service and effort that I have come to expect from the Associates within Consolidated Graphics.

 

You should continue with business as usual and execute projects and strategic initiatives according to plan.
