ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On September 30, 2007, Information Services Group, Inc. (ISG) and MCP-TPI Holdings, LLC (Seller) entered into Amendment No. 1 (the Amendment) to the Purchase Agreement, dated as of April 24, 2007, between ISG and Seller. The Amendment provides for: (i) a reduction in purchase price from $280 million in cash to $230 million in cash plus newly issued warrants exercisable for 5 million shares of ISG common stock at an exercise price of $9.18 per share, (ii) the deletion of the additional consideration of $50,000 per day commencing on October 24, 2007 and (iii) the elimination of the escrow and the deletion of indemnification provisions for breaches of representations and warranties or pre-closing covenants. The warrants will be exercisable at any time following the first anniversary of the closing and will expire on the fifth anniversary of the closing.
