     As of April 30, 2005, there are 6,501,618 securities to be issued upon exercise of outstanding options or lapse of restrictions on restricted shares and there are 54,021 remaining securities available for future issuance under Equity Compensation Plans.  The weighted average exercise price of options outstanding as of April 30, 2005 is $15.86.  The weighted average remaining contractual life of options outstanding as of April 30, 2005 is 4.2 years.
