ITEM 1.01.  Entry into a Material Definitive Agreement.

	On April 13, 2011, Aehr Test Systems (the "Company") entered into a Sale
and Purchase Agreement (the "Agreement") with IPCO International Limited
("IPCO") relating to the sale of 150,000 ordinary shares of ESA Electronics
PTE LTD owned by the Company (the "Shares").  Pursuant to the Agreement, IPCO
agreed to purchase the Shares for an aggregate purchase price of approximately
1.7 million Singapore Dollars.

	A copy of the Agreement is attached hereto as Exhibit 10.19 and is
incorporated herein by reference.
