Item 1.01. Entry into a Material Definitive Agreement.

At the Special Meeting of Shareholders held on November 8, 2005, the Company’s 2005 Long Term Incentive Plan was approved by a vote of the shareholders. A copy of the plan is attached to this report as Exhibit 99.1. The 2005 Long Term Incentive Plan provides for the grant of options and other forms of equity-based awards to employees and directors of the Company in the discretion of the Company’s Compensation/Stock Option Committee. A total of 350,000 shares are to be reserved for issuance under the plan.
